Legal consultancy

Advisory, drafting and compliance work for founders, employers, families and institutions — handled by lawyers who teach these subjects, and who will explain the reasoning rather than hand you a document you cannot read.

What we do

Advice you can act on, in writing

Most legal problems that reach a courtroom began as a document nobody read carefully, or a compliance date nobody diarised. Consultancy is the cheaper half of the profession, and we would rather you spend money here than on litigation later.

Every engagement ends with something you can hold: a written opinion, an executed document, a compliance calendar, or a checklist your team can run without us. We do not bill for meetings that produce neither.

Areas of work

Where we are most often instructed

If your question falls outside these, say so anyway — we will either take it or tell you honestly who should.

Corporate & startup

Choice of entity and incorporation — private limited, LLP, OPC, partnership. Founders' agreements, shareholders' agreements, ESOP policies, term-sheet review, share transfers, ROC and annual filings, board and general-meeting records.

Contracts & drafting

Drafting and vetting of vendor and service agreements, non-disclosure agreements, employment contracts, consultancy and retainer agreements, licensing, franchise, distribution, lease and leave-and-licence deeds. Redlining of counterparties' drafts with a plain-English note on what you are giving away.

Employment & POSH

Appointment letters, employee handbooks, non-compete and confidentiality clauses, termination and separation. Constitution of Internal Committees under the POSH Act, an external member for your Committee, staff and management training, and enquiry-procedure guidance.

Property & conveyancing

Title due diligence and search reports, sale deeds, agreements to sell, gift and relinquishment deeds, mutation, registration formalities, builder-buyer agreements and RERA questions, and tenancy documentation.

Wills, succession & family

Wills and codicils, succession and legal-heir certificates, probate guidance, family settlements and partition, gift deeds, guardianship, and prenuptial and separation agreements drafted with an eye on what a court will actually enforce.

Intellectual property

Trade-mark availability searches, classification and filing, replies to examination reports, oppositions, copyright registration, assignment and licensing agreements, and IP clauses in employment and vendor contracts.

Regulatory & data protection

Shops and establishments, PF and ESI, professional tax and GST registrations, FSSAI and trade licences, and obligations under the Digital Personal Data Protection Act, 2023 — privacy notices, consent flows and processor agreements.

Education-sector advisory

Work we know from the inside: registration and structuring of schools, colleges and coaching centres, student and parent contracts, fee and refund policies that survive a consumer forum, faculty agreements, affiliation paperwork and advertising-standards compliance.

Legal audit & opinions

A structured review of your existing contracts, registrations, statutory registers and filings, returned as a ranked risk report with what to fix this month, this quarter and this year. Standalone written opinions on a specific question.

Engagement & fees

How consultancy is charged

Four models. We will tell you at the first meeting which one suits your matter, and we will not move you to a costlier one without asking.

ModelSuitsBasis
Single consultationOne clear question — should I sign this, what is my position, do I have a caseFlat fee for a 45-minute video call, with a short written summary afterwards
Fixed-fee deliverableA defined document or opinion — a will, a shareholders' agreement, a trade-mark filing, a title reportQuoted in advance against a written scope, with a stated number of revision rounds
Monthly retainerBusinesses with a steady flow of contracts, notices and compliance datesMonthly fee for an agreed scope and response time; work outside scope quoted separately before it starts
Project engagementTransactions, due diligence exercises, restructuring, or a full legal auditStaged fee against milestones, agreed before the first stage begins
The process

From first call to closed file

Tell us the problem

Call, write, or use the form. We will ask what the matter is and whether it is time-sensitive, so we can tell you honestly how soon we can start.

First consultation

Forty-five minutes with the lawyer who will do the work. Bring every document you have, including the ones you think are unhelpful.

Scope and quote

A written note setting out what we will do, what you will receive, when, and what it costs. Nothing begins until you approve it.

The work

Drafting, filing or advising, with a named point of contact and a stated turnaround. You see drafts, not just final documents.

Handover

The deliverable, an explanation of it in plain language, and where relevant a diarised list of the dates you must now keep.

Questions

Before you instruct us

Tell us what the matter is and we will confirm the fee for the first consultation before you commit to anything. Nothing is chargeable until you have agreed it in writing.

Yes. You will be told at the outset who is responsible for your file, and that does not change without your knowledge. For matters that need a specialist we will say so before taking the work, not after.

That is among the most useful things we do. Send the draft and tell us what you want out of the deal. You will get a marked-up version plus a short note on the clauses that matter, ranked by how much they could cost you.

Yes. Advisory, drafting and compliance work is done by video and email for clients across India. Where a matter needs a filing or appearance in a particular state, we will tell you at the outset whether we can act there or should refer you to counsel who can.

Yes, including in the first consultation and including if you decide not to instruct us. Communications with a legal adviser attract protection under the Bharatiya Sakshya Adhiniyam, and we treat everything shared with us accordingly.

We will tell you, and set out what litigation would realistically involve in time and cost before you commit to it. See Advocacy for how contested matters are run.

Start with a conversation

Describe the problem in a sentence or two and we will tell you whether it needs an hour, a document, or a court.
